STANDARD TERMS AND CONDITIONS OF SALE

These Terms and Conditions ("Agreement") are entered into by and between

SR Designs and the client in relation to the

purchase and installation of Modular wardrobes, Modular Kitchen, and Modular Storage Units. By

engaging in any business transactions with SR Designs, the Client agrees

to be bound by these Terms and Conditions.

1. Product Selection and Customization

1.1 Product Selection: The Client shall select the desired modular wardrobe and

modular storage units from SR Designs’ catalog or website.

1.2 Customization: SR Designs offers customization options for the

Products, including but not limited to dimensions, materials, finishes, colours,

and additional features. Any customization requests must be communicated to

SR Designs in writing and may incur additional charges.

1.3 Product Variation: SR Designs reserves the right to make reasonable

variations to the design, dimensions, and specifications of the Products, as long as

they do not significantly affect the overall functionality or quality.

2. Pricing and Payment

2.1 Pricing: The pricing for the products shall be as agreed upon between SR Designs and the Client (refer to the final invoice). The pricing is subject to

change without prior notice but will not affect any confirmed orders.

2.2 Payment: Payment schedules are as follows:

1) 1st Payment: 5% of the final quote to begin the designing process.

2) 2nd Payment: 45% of project value post design confirmation/selection to begin the execution process in the production house.

3) 3rd Payment: 45% of the overall project cost after 7-12 days of the 2nd

payment, and/or upon completion of carcasses of the ordered products validation

of which should be communicated through image submission by the company or

client visiting to the company’s production house. This payment may either be

required before or after the mentioned days, depending upon the progress of the

project and availability of raw materials.

4) 4th Payment: 5% of the total quote to be paid post-handover of the ordered

goods and services (delivery and installation).

2.3 Additional Charges: Any additional customization, installation, delivery, or

other services requested by the Client shall be charged separately and will be

communicated in writing before the services are rendered.

2.4 Taxes and Duties: The Client shall be responsible for any applicable taxes,

duties, or levies imposed on the purchase and delivery of the products.

2.5 In case there’s a delay in payment after the execution process is initiated and due to which the processed goods are stored in the facility of SR Designs a charge of Rs. 50/day will be applicable and applied to the client’s bill. The same shall be paid before the delivery of the good.

3. Order Confirmation and Changes

3.1 Order Confirmation: Once the order is confirmed and the deposit is received,

SR Designs will provide the Client with an order confirmation, including

the details of the Products, customization options, pricing, and delivery

/installation schedule.

3.2 Changes to Order: Any changes to the order must be requested by the Client

in writing. SR Designs will review the requested changes and

communicate any associated charges or feasibility. Changes can only be

accommodated if they are made Before The Manufacturing Process Begins.

4. Delivery and Installation

4.1 Delivery Schedule: SR Designs will provide an estimated delivery

schedule at the time of order confirmation. However, the delivery timeline may

vary due to factors beyond SR Designs’ control, such as manufacturing

delays, transportation issues, or unforeseen circumstances.

4.2 Delivery Charges: Delivery charges, if applicable, will be communicated to

the Client in writing. The Client shall ensure the availability of a suitable delivery

address and provide necessary access to facilitate delivery.

4.3 Installation: SR Designs offers professional installation services.

Installation charges, if applicable, will be communicated to the Client in writing.

The Client shall ensure the installation site is prepared and ready for installation.

4.4 Acceptance: Upon delivery and/or installation, the Client or their authorized

representative must inspect the products for any damage or defects. Any

discrepancies should be reported to SR Designs within 48 hours of

receipt.

5. Warranty and Returns

5.1 Warranty: SR Designs provides a warranty for manufacturing defects

and workmanship issues. The warranty period and terms will be communicated to

the Client in writing. The warranty does not cover damage caused by misuse.

5.2 Returns and Exchanges: Returns or exchanges are subject to SR Designs’ return policy. The Client must notify SR Designs within 7 days of delivery if they wish to return or exchange any products. Returns or exchanges will be accepted only for unused and undamaged items, subject to inspection by SR Designs.

6. Intellectual Property

6.1 Ownership: SR Designs retains all rights, title, and interest in any

intellectual property associated with the Products, including designs, drawings,

and proprietary information.

6.2 Client's Content: The Client warrants that any content provided to SR Designs

for customization, such as images, logos, or trademarks, does not

infringe upon any third-party rights. The Client grants SR Designs a nonexclusive, royalty-free license to use such content for the purpose of fulfilling the

order.

7. Limitation of Liability

7.1 Indirect Damages: SR Designs shall not be liable for any indirect,

incidental or consequential damages arising out of the purchase, installation, or

use of the products.

7.2 Maximum Liability: In any event, SR Designs’ liability shall be limited to the total amount paid by the Client for the products or services in question.

8. Governing Law and Jurisdiction

8.1 Governing Law: This Agreement shall be governed by and construed in

accordance with the laws of India Jurisdiction.

8.2 Dispute Resolution: Any disputes arising out of or in connection with this

The agreement shall be resolved amicably through good-faith negotiations. If the

parties fail to reach a resolution, the dispute shall be referred to mediation or

arbitration as per the laws of [Jurisdiction].

9. Entire Agreement

This Agreement constitutes the entire understanding between SR Designs

and the Client regarding the purchase and installation of modular wardrobes and

modular storage units. It supersedes any prior agreements, understandings, or

representations, whether written or verbal.

By engaging in any business transactions with SR Designs, the Client

acknowledges and agrees to abide by these Terms and Conditions.
